CORPORATE GOVERNANCE SUMMARY
Our Corporate Governance is divided into:
1. Board Governance
The Board of Directors of Marine Platforms is responsible for the formulation of the strategic decisions of the company and supervising its business by the provisions of the Companies and Allied Matters Act, 2004.
The board of directors is led by a Non-Executive Chairman while the Chief Executive Officer oversees the day-to- day running of the Company.
The board meeting holds at least once every quarter. Extraordinary meetings are held if there is an urgent need for the attention of the board.
The office of the Company Secretary is functional and active. She circulates the board papers ahead of the meeting to all the directors. It is a requirement for all the directors to attend statutory meetings of the Company.
2. Shareholders’ Matters
We have a duly constituted board of directors comprising of three shareholders, executive and non-executive directors whose goal is to act in the best interest of the company.
3. Internal Control
We have a compliance team that ensures our processes complies with the applicable laws while our financial audit is carried out by KPMG professionals.
4. Anti-Corruption Initiatives
On the 14th of April 2016, Marine Platforms signed an anti-bribery and corruption policy in a bid to encourage good corporate governance. Marine Platforms and its employees have the responsibility to comply with the existing laws on corruption and to be prohibit it.

LOCAL CONTENT
Local Content development is the quantum of composite value added to or created in the Nigerian economy by a systematic development of capacity and capabilities through the deliberate utilization of Nigerian human and material resources in the Nigerian Petroleum Industry.

Marine Platforms was born as a result of the implementation of the Nigerian content initiative and with steadfast determination, we have emerged as the force it is today. Further impacting on our growth strategy, Marine Platforms has maintained value locally which is evident via the varying equipment's owned today and the personnel we have empowered over the years. we understand that there are a few skill-set in Nigeria but in readiness for the future, we are keen on developing the required expertise.
This initiative is the bedrock of Marine Platforms strategy and this has led to the success of the company. The framework has also impacted positively on the development of our host communities and our suppliers.
Our local content, knowledge and technology transfer plan is aimed at increasing local personnel ratio in each project through on-the-job training, experience and certification therefore, making them available for other major projects.
We also promote the improvement of our local workforce by encouraging routine training, both locally and in the facilities of our affliates and subcontractors abroad for a robust career development.
MATERIAL CAPACITY DEVELOPMENT
Marine Platforms started its operations with the lease of subsea equipment and chartering of vessels from strategic partners. With revenue generated from contracts and cultivated relationship with subsea system manufacturers, Marine Platforms has been able to acquire a total of 13 work class ROVs from original equipment manufacturers such as Perry Slingsby.
While riding on the back of our local content capacity building initiative, we also acquired our first 100% Nigerian owned and flagged OIMR Vessel- the African Vision. The African inspiration was also delivered 2 years later.
HUMAN CAPACITY DEVELOPMENT
We have always believed in the development of our local workforce by encouraging training, both locally through in-house training programmes, on the job and also by sponsoring our personnel to the facilities of our OEMs and subcontractors overseas for in-depth technical training, in preparation of active participation in high-level operations than hitherto.
We understand that there are a few skill set in Nigeria but in readiness for the future, we are keen on developing the required expertise. We started out with 5 ROV trainees and today, we have trained over 40 ROV Supervisors, Pilot Technicians as well as over 24 cadets.
Now we have embarked on a capacity development initiative to train several candidates from the Nigerian Content Development Monitoring Board (NCDMB) in Design & engineering, ROV operations, marine engineering and nautical sciences.
Today we have trained over 150 personnel in various areas that cuts far across our service segments.
